Terms of Service

These terms cover use of builtbynexx.com and our standard billing. They are between you and NEXX MANAGEMENT LLC, doing business as Built By Nexx.

What we do

We build custom software tools for small businesses, and we host and support them. Build projects are governed by a signed project agreement. If these terms and your signed agreement conflict, the signed agreement controls.

Our services are sold to businesses for business use. They are not offered for personal, family, or household use.

Custom builds

A flat-fee build is scoped in an estimate. Typical delivery is about ten days from the start of work. That is a target, not a guarantee. It depends on timely feedback and materials from you.

The project agreement sets the scope, ownership and licensing of the code, and the payment schedule. Ownership terms can differ from one project to the next, so read your agreement. These terms do not grant you rights to any build.

Estimates may list several named options. A deposit is due at signing against the option you accept.

How a build is delivered. Nothing ships physically. We deliver the working tool online, at a web address set up for your business, and walk you through it. Delivery of code or files, if your agreement includes it, is electronic.

Hosting and support plans

We offer hosting-only plans, which keep a delivered app running, and support and maintenance plans, which include hosting, changes, and support. The price is the price on your plan or estimate.

Automatic renewal. Plans bill monthly by card or US bank account through Stripe. Each plan renews automatically every month, and is charged to the same payment method, until you cancel. Your rate stays the same unless we agree a change with you in advance. Rates for new plans may differ.

How to cancel. Email hello@builtbynexx.com and say you want to cancel. We will confirm by email. Details are under Refunds and cancellation below.

Payment

Subscriptions are paid by card or US bank account. One-off invoices can be paid by card through Stripe, or by check, Zelle, or wire as the invoice states. Payment due dates are on each invoice. If an invoice is overdue, we may pause hosting after 15 days, with notice.

Payment details are entered on Stripe's pages. We never store your card or bank details.

Taxes. Prices do not include taxes. If a tax applies to something you buy, it will be shown on the invoice.

Refunds and cancellation

Deposits. A deposit reserves your place on the schedule. Deposits are refundable in full until work starts. Once work starts, the deposit is non-refundable. Work starts on the day we begin design or build work, or the date in your project agreement.

Build projects after work starts. Fees for work already done are not refunded. If you cancel a project partway, we will bill for work completed up to that point, less the deposit paid. If we cannot deliver what the agreement describes, we will fix it or refund the part we did not deliver.

Monthly plans. You can cancel at any time by emailing hello@builtbynexx.com. Cancellation takes effect at the end of your current billing period. We do not give partial-month refunds. You keep access through the end of the period you paid for. Before a plan ends, we will help you move your app if your agreement gives you that right.

One-off invoices. Refunds and cancellation follow your project agreement. If there is no agreement, one-off invoices are non-refundable once the work or service has been delivered.

Disputes and mistakes. If you think you were charged in error, email hello@builtbynexx.com first. We will respond within 2 business days. If we billed in error, we will correct it and refund the difference. Please contact us before filing a dispute with your bank, so we can fix it faster.

How refunds are paid. Approved card and bank refunds go back to the original payment method, and usually take 5 to 10 business days to appear, depending on your bank. Refunds of check, Zelle, or wire payments are sent by a method we agree with you.

Your responsibilities

You will give us accurate information and the access and materials we need. You are responsible for the content, data, and legal compliance of your own business, including any rules specific to your industry. You will not misuse the site or try to access accounts that are not yours.

Intellectual property

The content of builtbynexx.com, including text, design, and logo, belongs to NEXX MANAGEMENT LLC. Rights in any custom build are set by your project agreement. Unless that agreement says otherwise, we keep ownership of our pre-existing tools, code libraries, and methods.

Confidentiality and client names

We keep client information confidential. We do not name clients in marketing without their written permission.

No warranty

The website is provided as is. We aim for accurate information, but cannot promise it is always complete or current. Warranties on custom builds, if any, are stated in your project agreement.

Limit of liability

To the extent the law allows, our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim. We are not liable for lost profits, lost data, or indirect damages. These limits do not apply to fraud or intentional misconduct, or where the law does not allow them.

Ending service

We may suspend or end service for non-payment or misuse, with notice where practical. You may end service as described under Refunds and cancellation.

Governing law

Florida law applies. Any dispute will be heard only in the state courts located in Broward County, Florida, and both sides agree to those courts' jurisdiction.

Changes to these terms

We may update these terms. The date above shows the latest version. Changes do not alter a signed project agreement.
